Definitions

• "Client" refers to any individual, company, or entity that engages Panicle Tech for software development, consulting, or related services.
• "User" refers to any person who browses, visits, or interacts with the Website.
• "Deliverables" refers to any software, code, documentation, designs, or other work products created by Panicle Tech as part of a service engagement.
• "Confidential Information" refers to any non-public information shared between Panicle Tech and the Client during the course of an engagement.

Scope of Services

Panicle Tech provides custom software development, AI/ML solutions, cloud and DevOps engineering, security consulting, SEO services, fractional CTO leadership, and related technology services. The specific scope, timeline, deliverables, and pricing for each engagement are defined in a separate Statement of Work (SOW) or service agreement mutually agreed upon by both parties. These Terms apply in addition to any project-specific agreements.

Use of Website

You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use of the Website. You may not:

• Use the Website in any way that is unlawful, fraudulent, or harmful.
• Attempt to gain unauthorized access to any part of the Website, server, or database.
• Reproduce, duplicate, copy, sell, or exploit any portion of the Website without written permission.
• Use automated scripts, bots, or scrapers to collect data from the Website.

Intellectual Property

All content on the Website (including text, graphics, logos, icons, images, code, and software) is the property of Panicle Tech Pvt. Ltd. or its licensors and is protected by applicable intellectual property laws. You may not use, reproduce, or distribute any content from the Website without prior written consent.

For client engagements: ownership of Deliverables is governed by the specific service agreement or SOW. Unless otherwise agreed in writing, intellectual property rights in custom Deliverables transfer to the Client upon full payment. Panicle Tech retains the right to use general knowledge, techniques, and methodologies developed during the engagement.

Confidentiality

Both parties agree to maintain the confidentiality of any Confidential Information shared during the course of a service engagement. Confidential Information shall not be disclosed to any third party without prior written consent, except as required by law. This obligation of confidentiality survives the termination of any engagement for a period of two (2) years. Panicle Tech is willing to execute Non-Disclosure Agreements (NDAs) prior to any technical discussions.

Payment Terms

• Payment terms are defined in the project-specific SOW or service agreement.
• Invoices are typically issued on a milestone basis or monthly, as agreed.
• Late payments may attract interest at the rate specified in the service agreement.
• Panicle Tech reserves the right to suspend work on any project where payments are overdue by more than 15 days.
• All fees are exclusive of applicable taxes unless stated otherwise.

Warranties and Disclaimers

Panicle Tech warrants that all Services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a bug-fix warranty period of thirty (30) days from delivery of each milestone, during which defects in the Deliverables will be corrected at no additional cost.

Except as expressly stated, the Website and Services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, Panicle Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use of the Website or Services. Our total liability for any claim arising from a service engagement shall not exceed the fees paid by the Client for the specific engagement giving rise to the claim.

Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable SOW. Upon termination, the Client shall pay for all work completed up to the date of termination. Panicle Tech shall deliver all Deliverables completed as of the termination date. Provisions relating to intellectual property, confidentiality, and limitation of liability shall survive termination.

Third-Party Services

The Website may contain links to third-party websites or services. Panicle Tech does not endorse or assume responsibility for the content, privacy policies, or practices of any third-party websites. Our Services may integrate with third-party platforms (AWS, Google Cloud, Stripe, etc.) and the use of such platforms is subject to their respective terms of service.

Data Protection

Our collection and use of personal information is governed by our Privacy Policy. For client engagements involving personal data processing, Panicle Tech will comply with applicable data protection laws including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023 (India), GDPR (where applicable), and any other relevant regulations as specified in the service agreement.

Indemnification

You agree to indemnify and hold harmless Panicle Tech, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Website, violation of these Terms, or infringement of any third-party rights.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Kurukshetra, Haryana, India, unless otherwise agreed in a project-specific service agreement.

Modifications

Panicle Tech reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Website. Your continued use of the Website after any modifications constitutes acceptance of the updated Terms. We recommend reviewing these Terms periodically.
